Simply put, once you sign this type of contract, if either party backs out, they will pay a heavy price. This is the main focus of our discussion today.
Key Clauses of the Contract Explained
A proper deposit agreement must include the following cornerstone elements. Read every single word carefully!
- Buyer and Seller Information : Verify the full names, NIE/DNI numbers, and addresses of both the buyer and seller. It’s crucial to confirm that the seller’s information on the contract matches the owner’s details on the property deed exactly. If it’s a jointly owned marital property, both spouses need to sign.
- Property Description : The specific address of the property, its registration number at the Land Registry, its size, etc. All this information must be identical to the description on the Nota Simple, without a single character’s difference.
- Price and Payment Method : The total purchase price, the deposit amount, the payment method, and most importantly—the deadline for paying the remaining balance and signing the final purchase contract.
- Debts and Charges : The contract must explicitly state that the seller guarantees the property will be free of any debts, tenants, outstanding community fees, and unpaid IBI tax at the time of transfer. This clause is a crucial safeguard for us as buyers.
- Type of Deposit : It must be clearly stated that the agreement falls under Article 1454 of the Civil Code as an Arras Penitenciales. This provides a clear legal basis in case of disputes. The consequences of a breach are very clear, as shown in the table below:
